These Terms of Service ("Terms") govern your access to and use of software applications, SaaS products, websites, and technology services provided by QniTech Joint Stock Company ("QniTech", "we", "us", or "our").

QniTech provides multiple software products and services. Product-specific features, pricing, usage limits, and additional terms may apply to individual products.

By creating an account, purchasing a subscription, connecting a third-party service, or otherwise using a QniTech Service, you agree to these Terms.

1. QniTech Services

QniTech develops and operates multiple software products for businesses and users. These products may include SaaS platforms, business management tools, marketing and reputation management software, analytics tools, automation features, and other technology services.

The specific functionality available to you depends on the QniTech product and subscription plan you use.

2. Eligibility and Authority

You must have the legal capacity to enter into these Terms. If you use a QniTech Service on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials, providing accurate account information, maintaining the security of your account, all activity performed through your account, and ensuring that individuals using your account are authorized to do so.

4. Third-Party Integrations

Some QniTech products integrate with third-party platforms and services. These may include Google, payment providers, cloud infrastructure providers, communication platforms, analytics services, and AI service providers.

Your use of a third-party service may be subject to that provider's separate terms, policies, and privacy practices.

5. AI Review Manager

AI Review Manager is one of QniTech's software products. It provides businesses with tools for managing customer reviews and online reputation, including connecting authorized Google Business Profiles, viewing reviews, generating AI-assisted response suggestions, and managing review responses.

5.1 Google Business Profile Authorization

To use Google Business Profile functionality in AI Review Manager, you must have appropriate permission to manage the Business Profile you connect.

You authorize AI Review Manager to access your Google Business Profile through Google's OAuth authorization process. You represent and warrant that:

• You own or are authorized to manage the Business Profile.
• You have authority to grant the requested permissions.
• You will not connect a Business Profile without proper authorization.
• You will comply with Google's applicable policies and terms.

QniTech does not request or require your Google password.

5.2 Google Services

AI Review Manager interacts with Google Business Profile APIs. Google may modify, restrict, suspend, or discontinue its APIs or services. QniTech is not responsible for changes made by Google that affect the availability or functionality of the integration.

5.3 AI-Generated Content

AI Review Manager may generate suggested responses using artificial intelligence. AI-generated content may contain errors, inaccurate information, inappropriate wording, or incorrect assumptions.

You are responsible for reviewing AI-generated content before publishing it. You remain solely responsible for content published through your account.

5.4 Reviews and Reputation Management

AI Review Manager is a review management and reputation management tool. QniTech does not guarantee a specific number of reviews, rating, removal of negative reviews, improvement in Google rankings, increased revenue, or customer acquisition.

Users are responsible for ensuring that their review management activities comply with Google's policies and applicable laws.

6. Prohibited Use

You agree not to use any QniTech Service to:

• Access third-party accounts or data without authorization.
• Impersonate another person or business.
• Submit false or misleading information.
• Generate or publish fraudulent reviews.
• Manipulate or artificially inflate ratings.
• Circumvent third-party security or API restrictions.
• Scrape third-party services outside permitted APIs.
• Reverse engineer or attempt to compromise a QniTech Service.
• Introduce malware, viruses, or malicious code.
• Abuse API limits or attempt to circumvent quotas.
• Use the Services for unlawful purposes.
• Violate the rights of third parties.
• Violate applicable platform policies or laws.

7. Subscriptions and Payment

Certain QniTech Services require a paid subscription. Prices, billing periods, usage limits, included features, and applicable taxes will be presented at the time of purchase or within the applicable Service.

Unless otherwise stated, subscriptions automatically renew for the selected billing period. You authorize the applicable payment provider to charge the subscription fee.

QniTech may change pricing for future billing periods with reasonable notice.

8. Cancellation

You may cancel your subscription according to the cancellation functionality provided by the applicable Service or by contacting QniTech.

Cancellation generally prevents future renewal. Unless otherwise stated by applicable subscription terms or required by law, fees already paid are non-refundable.

9. Suspension and Termination

QniTech may suspend or terminate an account or Service if you violate these Terms, violate applicable third-party platform policies, engage in fraudulent or abusive activity, create a security risk, fail to pay applicable fees, are required to do so by law, or continued operation would create significant legal or technical risk.

10. Intellectual Property

The QniTech Services, including their software, design, interface, documentation, branding, and underlying technology, are owned by or licensed to QniTech.

These Terms do not transfer ownership of QniTech software or intellectual property to you.

You retain ownership of content and information that you submit to a QniTech Service, subject to the rights necessary for QniTech to operate and provide the applicable Service.

11. Customer Data

You retain ownership of your business data and content submitted to QniTech Services.

You grant QniTech a limited, non-exclusive right to process such data solely as necessary to provide the applicable Service, maintain security and reliability, provide support, and perform functionality requested or enabled by you.

12. Service Availability

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable due to maintenance, software updates, security incidents, infrastructure failures, third-party service outages, API changes, or events beyond our reasonable control.

13. Disclaimer

To the maximum extent permitted by applicable law, QniTech Services are provided on an "as is" and "as available" basis.

QniTech does not guarantee that a Service will meet every business requirement, always be available, produce error-free results, remain compatible with every third-party service, or achieve a particular business outcome.

14. Limitation of Liability

To the maximum extent permitted by applicable law, QniTech shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of a QniTech Service, including, where legally permitted, loss of profits, revenue, business opportunities, reputation, data, or goodwill.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless QniTech and its officers, employees, contractors, and service providers from claims, damages, liabilities, and expenses arising from your violation of these Terms, unauthorized use of third-party services or data, content published through your account, violation of third-party rights, or violation of applicable law or platform policies.

16. Changes to the Services and Terms

QniTech may modify, add, or remove features from its Services.

We may also update these Terms when necessary to reflect changes to our Services, applicable laws, technologies, or business practices.

When appropriate, material changes may be communicated through the applicable Service or other reasonable means.

17. Governing Law

These Terms shall be governed by the laws applicable to QniTech's place of establishment, except where mandatory consumer protection laws provide otherwise.

Nothing in these Terms is intended to remove rights that cannot legally be excluded under applicable law.
